The mileage isnt a concern if it was well maintained. If he is lucky it was and will last alot longer. Get a list of the Mods and you can easily price them out to see if they make price worth it. Blue book for excellent condition is $10,500 for 2005 nighttrain. I would offer $8k-9k max with the mileage

05 was the best year!
Sounds like the carb version of mine, I just turned 46k. If it's well maintained, I'd call that a fair price, not a steal and not a ripoff. Some things to check into prior to purchase:
Some 05 TC 88's experienced a valve seal failure that the factory owned up to. Mine went at 18k and were covered under warranty. Seeing as it has 46k on it, probably a nonissue, but you might want to inquire if the work has been done and by whom, and peek at the plugs.
Also, a popular discussion in here, are the cam chain tensioners. This is a very bike specific issue. Mine have not been changed, nor do they need to be changed yet. Some will argue with that decision. They look brand new and that's that. If the bike has the hydro tensioner upgrade, you will need to ask if the inner cam chain was replaced with a roller chain. Currently the hydro kit reuses the OLD inner link chain which has now been found by some to wear away the new inner tensioner just as fast as the stock setup. So, even for those hydro preachers, the shoes are still a wear issue.
And thirdly, ask if the steering head washer upgrade has been done. A cheap TSB from HD to address neck looseness and clunking. Basically a $6 washer to replace the flimsy stock one, along with new and improved torque specifications. Not normally a big deal, but might be an indicator that the current owner paid close attention to the ride quality/factory maintenance/service bulletins.
Can't think of anything else off the top of my head, it's a great bike and a great year. Good luck!
