That's most likely the beginning of you Ignition Relay Switch on the way out. $10.00 part that you can do in minutes by yourself. If that doesn't work do the Starter Relay.

Thanks guys. It was the Ignition Relay. I found this post that helped and may help others as well. I
thought I would follow up on this just in case someone else ever tries to look up the same problem. You may have all or some of these symthoms. My neutral light was on and off all summer before my headlight started to go on the blink and force the issue. I imaged more problems would have arose had I not replaced the Ignition Relay

Symtoms:
1. No netural light when the bike is in neutral.
2. No gas gauge.
3. No headlights, passing lights or tail lights.
4 Had turn signals and brake light.
5. Had fender tail light.
6. Bike ran fine.

Bought a new ignition switch but it didn't change anything.

Actions:
1. Checked all fuses and the relays under the left side panel.
2. Checked all wiring in the left handlebar going into the headlight looking for shorts.
3. Checked for power at the hot side of the instrument and headlight fuses with the fuses pulled.

Comments:
The power to the hot side of the fuses was intermittent.
Turning on the ignition may or may not have power to the fuses.
If there was power to the hot side of the fuses and I put a fuse in it would go out right away.
Followed the Red wire with the black stripe to the ignition relay under the seat in the rubber boot on the left side.
Pulled the relay and slide the plug out of the boot and out the side of the bike where I could get a good look at it and re-installed the relay.
At this point I could push down on the top of the relay and the lights would come on and if I let up on the top of the relay the lights would go off.
I was excited at this point cause I could make them come on and go out with something I was doing.
I pulled the relay back out of the plug and popped the top off the relay.
Inside I found a copper coil and a set of contact points like you would find in an old car.
I cleaned up the contacts with a piece of fine sandpaper and then sprayed contact cleaner on the contacts. Blew the relay off with the compressor hose and let it dry good before putting the relay back in the plug.
When installed back into the plug the lights worked and everything lit up again and stayed lit.
Put everything back together and took it around the block and its all good.
Tomorrow I will go and buy a replacement relay $11.00 and swap out the old one.

I let the bike sit for a couple weeks before I got ready to work on it.
Not much of an electrical guy but was able to figure it out at last.
Dont know if anyone cares about this but I know I did a lot of research on the internet trying to figure out what this was. Because it would work sometimes and not sometimes made it hard to find.
Tomorrow I will be out riding.

Key words: Headlights don't work, No neutral light or headlights, No gas gauge, bike runs but no headlights.

Nice write-up, Jack. You done good putting it out there for others to see (not me particularly, as my problem is on an FXD and only needs a new instrument assembly...but since I don't need a dummy light to tell me I'm in 'N', I haven't worried about it for the past year, heh).
