Thanks for all the replies. I don't think it's fuel related since when it shut down, it just up and quit- no sputtering or anything like that. Additionally, I replaced the petcock back in April and with it put on a new fuel filter.
The lights were working and it did crank when this happened, it would start and then shutdown again. Could be the shifting problem and bike shutdown problem are unrelated. I'm gonna try sticking a voltmeter on the battery like megawatt suggested and I'll take a look at the clutch, too.
Thanks for all the help- it's gonna be a coupla days before I can get to it, but I'll keep ya posted.
Update: slapped the voltmeter on the battery and started her up- voltage was normal. Put the ohmmeter on the ignition coil and it too was normal- oh wait - one of the spark plug wires was loose connecting to the coil.... could it be it was that simple? Hmmm I feel like a dumba$$... check the simple stuff first
What caught my attention was the smell you mentioned.
I thought maybe it was the epoxy used in securing the innards of an ignition module or the voltage regulator.
Do you think the smell came from the insulation of the plug wire melting from the arcing?

No test ride yet. And yeah, I'm the arcing was probably the source of the smell. When I discovered the loose coil wire - it all came together. I want to have enough time to get the bike up to full operating temp so it might be a few days before I can do it. Hopefully this is the problem.
