Description says I need to order a gasket, PN# 25416-99C. When I do a search for the gasket it says my search returned no results. Anybody got any insight or ideas. Bike is '08 Ultra.
I recently put that exact cover on my bike (after I dropped the stock cover and scratched it). They'll have the gasket kit at your local dealer and it's a quick change.
I feel really dumb for asking this, but, why do I need a gasket? Does this cover encase oil or just need the gasket to keep out condensation?

I would guess that you looked it up on the HD web site. It doesn't list every day maintenance type parts. You need to check for your gasket at online HD dealers like Chicago HD or Zanottis HD or go to your local dealer.
Your derby cover covers your primary chaincase which is where your clutch basket is located. It holds about 32 oz. of oil. You need to get hold of a service manual. It will be of invaluable use to you. Be careful removing the the screws to the derby cover. They are a #27 torx screw.

Your primary holds 38 oz. of oil, your original derby cover has a slot with a seal, the new one does not, thus you need that new gasket. It's about $6.

maybe this is a dumb question, but are you able to change out with cover without gettting oil all over the place? Just a concern I had before I did this upgrade!

A lot of the guys put a piece of 2x4 under the jiffy stand to stand the bike more "upright" so the oil doesn't leak out when changing the cover.
I would suggest that a person secures the bike from falling over to the other side by tethering the left side of the bike to a sturdy object using a tie down strap and pulling up the slack. Won't tip over when you push on the bike to remove the screws. Might not be necessary, but couldn't hurt either...
