Only you can answer that, assuming both are brand new from the dealer and come with the same warranty. When I was looking at a new, left over 09 a few weeks back the dealer offered me 1300 off sticker.
I'm talking about the helical gear and the Michelin tires, are they worth it to pay $1000 more? And yes, both '09 and '10 are brand new.
Have no problem with the 5th gear in my 09 and the slight whine in the 07 doesn't bother me in the least, so that's not worth anything IMO.
Too soon to tell if the Michelin's are better than the Dunlops and tires are like oil and seats - ask three people and get 5 completely different and conflicting opinions.
In your place I'd focus more on resale value. Should you need to sell a year or two down the road, will the 10 be worth $1000 more than the 09?
I don't have a whine in 5th on mine, it's more like a rattle or knock at lower speeds.
I actually was concerned and asked the dealer ....he said it was perfectly normal.
I don't like the sound, but it runs great so otherwise i cant complain.
Keep in mind the mods you will make on this FXD. They can add up, and if you don't think you can live with that speedo, you will have your work cut out for you.
The FXD custom might be a good choice too...it gets the speedo on the tank and leaves you to choose different bars without the hassle.

I was torn between the FXD and the FXDC. One of the main concerns I had was the speedometer on the FXD. I knew I was going to put pull back risers on it and that really messes with the speedo angle. Another thing I liked better about the FXDC was the key location. A lot more convenient than the FXD. Most of the time I just unlock the ignition, put the key in my pocket and ride all day.
Not to mention I also like the chrome and black engine.

IMHO no. I have an 09 and the "hum" from the 5th gear lets you know you are in 5th!! I think its fairly subtle and would have never noticed it unless the helical gear was put on the '10 and the issue brought up
I actually prefer the speedo on the handlebar mount on the FXD instead of on the tank. Also I hate the ugly tank badges on the FXD custom. What I do like about the FXD custom is the chrome covers though.
